Welcome to CodeShop.in (“CodeShop”, “we”, “us”, or “our”).

These Terms of Service (“Terms”) govern your access to and use of the CodeShop.in website, marketplace, digital products, software, source code, plugins, themes, scripts, templates, services, affiliate/referral programs, seller facilities and related services.

By accessing, registering on, purchasing from, selling through, or otherwise using CodeShop.in, you agree to these Terms.

If you do not agree with these Terms, please do not use the platform.


1. About CodeShop.in

CodeShop.in is a digital products marketplace where users may discover, purchase, download, access, review or otherwise use digital products offered through the platform.

Where CodeShop operates as a marketplace, the applicable seller/product information and terms will also apply.


2. Eligibility

You must provide accurate information when creating an account or purchasing products.

You must not use CodeShop if you are prohibited from using online services under applicable law.

If you are using CodeShop on behalf of a business or organization, you confirm that you have authority to bind that entity to these Terms.


3. User Account

Certain features require you to create an account.

You are responsible for:

  • Providing accurate registration information.
  • Maintaining the confidentiality of your login credentials.
  • Keeping your account information updated.
  • All activities performed through your account.
  • Immediately notifying CodeShop of unauthorized access.

You must not:

CodeShop may suspend or terminate accounts involved in fraud, abuse, illegal activity or serious violations of these Terms.


4. Purchasing Digital Products

When you purchase a product through CodeShop, you agree to:

  2. Review applicable licensing terms.
  3. Check technical and compatibility requirements.
  4. Provide accurate payment and account information.
  5. Use the purchased product only as permitted by its applicable license.

A successful payment does not automatically transfer ownership of the underlying intellectual property.

Your purchase generally gives you the license or usage rights specified for that product, not ownership of the copyright or intellectual property in the product.


5. Product Licenses

Every digital product may be subject to its own license.

Licenses may include:

  • Other applicable open-source or commercial licenses

You are responsible for reviewing and complying with the applicable license before using a product.

Where the product is distributed under an open-source license, your rights and obligations are governed by that license.

CodeShop does not grant rights greater than those available under the applicable product license.


6. Third-Party Products

Some products may be supplied by independent sellers or third-party developers.

CodeShop may provide the marketplace, payment infrastructure, product discovery and related services but may not be the original developer or copyright owner of every product.

Product descriptions, demonstrations, compatibility information, updates and support obligations may therefore vary between products.

Where applicable, the seller's terms and product license will also apply.


7. Product Delivery

Digital products may be delivered through:

  • Account download areas
  • Download links
  • Email
  • Product dashboards
  • License keys
  • Access credentials
  • Third-party platforms
  • Other digital delivery mechanisms

Delivery timing may vary depending on the product and payment verification.

CodeShop may delay delivery where payment requires additional verification or where fraud-prevention checks are necessary.


8. Payments

Payments may be processed through third-party payment gateways.

You authorize CodeShop and its payment providers to process the applicable transaction amount.

Prices may be displayed in INR or other supported currencies.

Applicable taxes, including GST where required, may be charged in addition to the displayed product price.

Payment gateway availability and processing are subject to the respective provider's terms.


9. Refunds and Cancellations

Digital products are generally non-refundable after delivery, download or access, except where:

  • A refund is required by applicable law;
  • The product was not delivered;
  • The product is materially different from its description;
  • A genuine technical defect cannot reasonably be resolved;
  • A duplicate payment occurred; or
  • The transaction otherwise qualifies under CodeShop's Refund & Cancellation Policy.

Nothing in these Terms is intended to exclude rights that cannot legally be excluded.


10. Intellectual Property

Unless otherwise stated:

  • CodeShop's website, branding, design, logos, text, graphics and platform technology belong to CodeShop or its licensors.
  • Individual products remain the intellectual property of their respective owners or licensors.
  • Purchasing a product does not transfer copyright ownership to the purchaser.

You must not copy, reproduce, redistribute, resell or publicly distribute a product except where expressly permitted by its applicable license.


11. Prohibited Use

You must not use CodeShop to:

  • Commit fraud.
  • Conduct illegal activities.
  • Distribute malware.
  • Distribute stolen or pirated software.
  • Circumvent product licensing.
  • Resell products without authorization.
  • Upload copyrighted material without permission.
  • Infringe intellectual-property rights.
  • Attempt unauthorized access to CodeShop systems.
  • Introduce malicious code.
  • Manipulate reviews or ratings.
  • Create fake accounts.
  • Manipulate referral commissions.
  • Abuse promotional offers or coupons.
  • Conduct fraudulent payment or chargeback activity.
  • Interfere with the operation of the platform.
  • Collect other users' information without authorization.
  • Use CodeShop for activities prohibited by applicable law.

12. Seller Responsibilities

If you sell products through CodeShop, you additionally agree that:

You must:

  • Own or have sufficient rights to sell the product.
  • Provide accurate product information.
  • Clearly disclose applicable licensing terms.
  • Provide legitimate and functional product files.
  • Respect intellectual-property rights.
  • Provide reasonable product support where required by the applicable seller/product terms.
  • Respond to legitimate customer issues.
  • Comply with applicable tax and business laws.

You must not:

  • Upload pirated software.
  • Upload malware or malicious code.
  • Upload stolen source code.
  • Misrepresent product functionality.
  • Manipulate ratings or reviews.
  • Sell products for which you do not have the necessary rights.
  • Circumvent CodeShop commissions.
  • Move CodeShop customers off-platform for the purpose of avoiding applicable fees.

CodeShop may remove products, suspend sellers or withhold funds where there is a reasonable concern regarding fraud, intellectual-property infringement, payment disputes or violation of these Terms.


13. Seller Payouts and Withdrawals

Seller or affiliate earnings may become eligible for withdrawal according to CodeShop's applicable payout rules.

CodeShop may delay or hold payouts where necessary to investigate:

  • Refunds
  • Chargebacks
  • Fraud
  • Payment disputes
  • Suspicious transactions
  • Policy violations
  • Intellectual-property complaints
  • Other legitimate risks

A seller's displayed balance does not necessarily mean that the amount is immediately withdrawable.

Any applicable withdrawal fees, commissions, taxes or adjustments will be handled according to the applicable payout terms.


14. Reviews and Comments

Users may be permitted to submit reviews, ratings, comments or other content.

Reviews should represent genuine user experiences.

You must not:

  • Submit fake reviews.
  • Review products without reasonable basis.
  • Manipulate ratings.
  • Threaten sellers for favorable reviews.
  • Post spam.
  • Post defamatory or unlawful content.
  • Publish another person's private information.

CodeShop may remove content that violates these Terms or applicable law.


15. Affiliate and Referral Programs

Where CodeShop offers affiliate or referral programs, participants must comply with the applicable program rules.

Participants must not:

  • Generate fraudulent transactions.
  • Self-refer where prohibited.
  • Manipulate tracking systems.
  • Use misleading advertising.
  • Make false product claims.
  • Engage in spam.
  • Use unauthorized brand assets.
  • Attempt to manipulate commissions.

Commissions may be reversed where an underlying transaction is refunded, charged back, fraudulent or otherwise invalid.


16. Coupons and Promotions

Promotional offers, discounts and coupons may be subject to additional terms.

CodeShop may:

  • Limit promotional availability.
  • Set eligibility requirements.
  • Limit coupon usage.
  • Cancel fraudulent or abusive transactions.
  • Modify or discontinue promotions where permitted.

Coupons generally have no cash value unless expressly stated otherwise.


17. Availability of the Platform

We aim to keep CodeShop available and operational, but we do not guarantee uninterrupted access.

The platform may occasionally be unavailable because of:

  • Maintenance
  • Server problems
  • Security incidents
  • Internet failures
  • Payment-provider issues
  • Third-party service failures
  • Updates
  • Events outside our reasonable control

We may modify, suspend or discontinue portions of the platform when reasonably necessary.


18. Product Updates and Support

Product updates are governed by the applicable product listing and license.

A purchase does not automatically guarantee:

  • Lifetime updates
  • Lifetime support
  • Future feature development
  • Compatibility with every future version of third-party software
  • Compatibility with every hosting environment

Where a product listing expressly promises updates or support, those terms will apply.


19. Third-Party Services

CodeShop may integrate with third-party services such as:

  • Payment gateways
  • Hosting providers
  • Cloud services
  • Analytics providers
  • Communication platforms
  • Authentication providers
  • External software services

Third-party services are subject to their own terms and policies.

CodeShop is not responsible for outages or failures caused solely by third-party services.


20. Privacy

Your use of CodeShop is also subject to our Privacy Policy.

By using CodeShop, you acknowledge that you have reviewed the Privacy Policy.


21. Security

You must not attempt to compromise or circumvent CodeShop's security systems.

This includes:

  • Credential attacks
  • Exploiting vulnerabilities without authorization
  • Malware deployment
  • SQL injection
  • Unauthorized scraping
  • Denial-of-service attacks
  • Circumventing access controls

Security vulnerabilities should be reported responsibly to CodeShop.


22. Account Suspension and Termination

CodeShop may suspend, restrict or terminate an account where reasonably necessary due to:

  • Intellectual-property infringement
  • Payment abuse
  • Chargeback abuse
  • Marketplace manipulation
  • Security violations
  • Repeated policy violations
  • Material breach of these Terms

Where appropriate, CodeShop may provide notice or an opportunity to resolve the issue.

Termination does not automatically eliminate obligations that accrued before termination.


23. Disclaimer

CodeShop provides the marketplace and related services on an “as available” basis.

To the maximum extent permitted by applicable law, CodeShop does not guarantee that:

  • Every product will meet every user's expectations.
  • Every product will be compatible with every environment.
  • Products will remain available indefinitely.
  • Third-party products will always receive updates.
  • The platform will always operate without interruption.

Nothing in these Terms excludes liability or consumer rights that cannot legally be excluded.


24. Limitation of Liability

To the maximum extent permitted by applicable law, CodeShop will not be liable for indirect, incidental, special or consequential losses arising from the use of the platform or a product purchased through it.

This may include loss of:

  • Profits
  • Revenue
  • Business opportunities
  • Data
  • Goodwill
  • Business interruption

This limitation does not apply to liability that cannot legally be limited or excluded.


25. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold CodeShop, its owners, employees, affiliates and service providers harmless from claims, losses, liabilities and expenses arising from:

  • Your violation of these Terms.
  • Your unlawful use of the platform.
  • Your infringement of third-party rights.

  • Fraudulent activity associated with your account.

26. Intellectual Property Complaints

If you believe a product or other content on CodeShop infringes your intellectual-property rights, contact us with sufficient information to identify:

  • Product-specific license
  • Product-specific terms
  • Other policies published by CodeShop

constitute the applicable agreement governing your use of CodeShop.

If there is a conflict between these Terms and a product-specific license, the applicable product license will govern the rights and obligations relating specifically to that licensed software to the extent required by that license.
